Membership Billing and Cancellation Policy

This Policy should be read together with the current Terms of Service and any other legal documents applicable to the Service.

By activating or renewing a membership, the client acknowledges and accepts this Policy.

1. PURPOSE AND SCOPE

This Policy governs the commercial and billing terms applicable to 4UProfit memberships.

It explains:

  • membership levels;
  • reference capital;
  • activation;
  • thirty-day billing cycles;
  • automatic and manual renewal;
  • Eligible Result;
  • Technology Membership and Performance Fee treatment;
  • payment processing;
  • failed payments;
  • plan changes;
  • cancellation; and
  • refund review.

Trading risks are addressed in the Trading Risk and Technology Disclaimer and other applicable risk disclosures.

Use of the Service is governed by the Terms of Service.

2. MEMBERSHIP LEVELS

4UProfit offers four membership levels:

  • Core;
  • Professional;
  • Private; and
  • Private Reserve.

Each level is associated with:

  • a reference-capital range;
  • a monthly Technology Membership;
  • a Performance Fee rate; and
  • the corresponding monetary position sizing, exposure, and service level.

All membership levels use the same underlying percentage-based operating model.

  1. A higher membership level does not represent:
  • a guaranteed higher percentage return;
  • a different promise of profitability;
  • a higher level of individualized financial advice; or
  • a guarantee of improved performance.

The principal differences among levels are the applicable reference-capital range, the Technology Membership amount, the Performance Fee rate, and the corresponding monetary scale and service access.

3. REFERENCE CAPITAL

Each membership is associated with a recommended reference-capital range.

Reference capital is used to determine:

  • account eligibility;
  • operating level;
  • position sizing;
  • planned exposure;
  • applicable membership pricing; and
  • internal risk parameters.

Reference capital is not:

  • a guaranteed balance;
  • a protected amount;
  • an insured amount;
  • a promise of preservation; or
  • a performance guarantee.

Funds maintained above one reference-capital level but below the next membership level may not increase strategy sizing or operating capacity.

  1. A client requesting a higher membership level must maintain sufficient capital and satisfy the corresponding technical and margin requirements.

4. DEMO ACCESS

4UProfit may provide free and unlimited demo access for supported NinjaTrader Futures and Forex environments.

Demo access allows users to review the general operating experience before activating a live membership.

Demo accounts use simulated capital and may not reproduce actual live-market conditions.

Demo results may differ from live-account results because of:

  • simulated execution;
  • spreads;
  • liquidity;
  • slippage;
  • latency;
  • commissions;
  • margin treatment;
  • broker configuration; and
  • market conditions.

Demo access does not guarantee future live-account performance.

5. MEMBERSHIP ACTIVATION

  1. A membership becomes active when:
  • the client selects a membership level;
  • the applicable payment or activation requirements are completed;
  • the membership is confirmed by the platform; and
  • any required account-eligibility conditions are satisfied.

The activation date establishes the beginning of the first thirty-day billing cycle.

By activating a membership, the client accepts:

  • the membership level;
  • the applicable Technology Membership and Performance Fee;
  • the billing cycle;
  • the selected renewal method;
  • this Policy; and
  • the applicable Terms of Service.

6. THIRTY-DAY BILLING CYCLE

Memberships operate in recurring periods of thirty calendar days beginning on the activation date.

  1. A billing cycle is not necessarily the same as a calendar month.

Example:

If a membership is activated on August 10, the first cycle runs for thirty days from that activation date. The following cycle begins after the first thirty-day period ends.

Each successful renewal begins a new thirty-day membership cycle.

4UProfit does not currently offer annual memberships or long-term contractual commitments.

7. MEMBERSHIP PRICING

Each membership level includes two separate components:

(a) a monthly Technology Membership; and (b) a Performance Fee.

The Technology Membership and Performance Fee are separate charges. The Technology Membership amount and the applicable Performance Fee rate for each level are displayed during checkout before activation.

The accepted pricing applies according to the billing terms shown at that time.

4UProfit may change membership prices, Technology Membership amounts, Performance Fee rates, or membership levels in the future.

  1. A pricing change will not retroactively alter a completed billing cycle.

Where applicable, notice of a future pricing change will be provided before a later renewal becomes effective.

If a client does not accept a future pricing change, the client may disable renewal or cancel before the next cycle begins.

8. AUTOMATIC RENEWAL

Automatic renewal is the standard continuity option.

When automatic renewal is active, the client authorizes 4UProfit and its payment processor to process the applicable Technology Membership charge at the end of each thirty-day cycle, subject to the membership charge rules described in this Policy.

The client is responsible for maintaining:

  • a valid payment method;
  • accurate billing information; and
  • sufficient available funds or credit.

Automatic renewal may be disabled through the available account settings or support procedures.

Disabling automatic renewal does not immediately terminate the current paid cycle.

9. MANUAL RENEWAL

  1. A client may disable automatic renewal and use manual renewal where that option is available.

Manual renewal does not create a penalty or additional fee.

The client is responsible for renewing before the current thirty-day cycle expires.

If the membership is not renewed before expiration:

  • the membership becomes inactive;
  • the account stops receiving new strategy activity;
  • missed operations are not recreated later; and
  • the account result may differ from system or historical results.

Renewing manually after expiration may require the client to reactivate or reconnect the account.

10. RENEWAL NOTIFICATIONS

4UProfit generally sends a renewal notice approximately three days before the end of the current billing cycle.

For automatic renewal, the notice may identify:

  • the expected renewal date;
  • the applicable membership;
  • the applicable Technology Membership amount; and
  • the payment method on file, where appropriate.

For manual renewal, the notice may remind the client that renewal is required to maintain uninterrupted access.

Failure to receive or review a reminder does not extend the billing cycle and does not remove the client’s responsibility to monitor membership status.

11. ELIGIBLE RESULT

For purposes of determining whether a Performance Fee may apply, “Eligible Result” means the realized trading result attributed to the applicable thirty-day billing cycle after relevant execution costs reflected in the account or performance record, but before applying any 4UProfit Performance Fee.

Relevant execution costs may include, depending on the operating environment:

  • broker commissions;
  • exchange fees;
  • regulatory fees;
  • spreads;
  • slippage;
  • overnight financing, where applicable; and
  • other broker or market execution costs.

Unless expressly stated otherwise:

  • deposits are not trading results;
  • withdrawals are not trading results;
  • unrealized profit or loss from an open position is not a completed Eligible Result;
  • the Technology Membership or Performance Fee is not deducted before the initial Eligible Result calculation; and
  • individual account results may differ from gross system results.

4UProfit may use reasonably available broker, platform, execution, and internal performance records to determine the Eligible Result.

12. MEMBERSHIP AND PERFORMANCE FEE RULES

The membership structure has two components for each applicable thirty-day cycle.

Technology Membership

Each membership level has an applicable monthly Technology Membership. The Technology Membership provides access to the 4UProfit infrastructure, connectivity, monitoring and support during the membership cycle.

Performance Fee

The Performance Fee applies only to new eligible profits generated above the applicable High-Water Mark. The Performance Fee rate depends on the client's membership level.

Negative Period

If the Eligible Result for the applicable period is negative:

  • no Performance Fee applies;
  • the applicable Technology Membership remains part of the membership structure, but 4UProfit covers that Technology Membership for that period, resulting in no Technology Membership charge to the client for that period; and
  • trading losses are not reimbursed.
  1. Recovery After A Loss

Following a negative period, the previous High-Water Mark remains in place.

Subsequent gains must first recover the previous High-Water Mark before a new Performance Fee may apply.

Performance Fee applies only to new eligible profits generated above the prior High-Water Mark.

This billing mechanism is not:

  • a guarantee of profit;
  • a guarantee of capital;
  • an insurance policy;
  • a reimbursement of trading losses; or
  • a promise that future results will recover prior losses.

13. PAYMENT PROCESSING

Payments are currently processed through Stripe or another payment-processing service expressly displayed during checkout.

Available payment methods are shown during the checkout process and may depend on:

  • jurisdiction;
  • account;
  • currency;
  • payment-processor availability; and
  • current platform configuration.

4UProfit does not directly store complete payment-card details when those details are processed by an independent payment provider.

The payment processor may apply its own:

  • verification procedures;
  • security controls;
  • authorization requirements; and
  • terms of service.

14. FAILED OR DECLINED PAYMENTS

If an automatic or manual payment is declined, fails, or cannot be completed, 4UProfit may:

  • notify the client;
  • retry the payment where permitted;
  • request an updated payment method;
  • suspend renewal;
  • prevent a new billing cycle from beginning; or
  • allow the current membership to expire.
  1. A failed payment does not create a new active cycle.

If the payment issue is not resolved before the current cycle ends:

  • the membership becomes inactive;
  • new strategy activity stops;
  • missed operations are not recreated; and
  • the client may need to renew and reconnect manually.

4UProfit is not responsible for performance differences caused by a failed payment or a resulting inactive period.

15. EXPIRED OR INACTIVE MEMBERSHIPS

  1. A membership becomes inactive when:
  • the thirty-day cycle ends without successful renewal;
  • a required payment is not completed;
  • automatic renewal is disabled and no manual renewal occurs;
  • access is suspended under the Terms of Service; or
  • the membership is otherwise terminated.

While inactive:

  • the account does not receive new strategy activity;
  • missed operations are not recreated after reactivation;
  • account performance may differ from system or historical results; and
  • access to membership-specific features may be restricted.

Reactivation begins a new eligible access period according to the terms displayed at that time.

16. PAUSE AND DISCONNECTION

The client may pause or disconnect the brokerage-account connection using available account controls or support procedures.

Before pausing or disconnecting, the client should verify whether any position remains open.

When the account is disconnected:

  • new operations are no longer transmitted;
  • previously transmitted orders may remain active;
  • open positions are not automatically closed;
  • the account may not receive a later strategy instruction intended to close or manage an existing position; and
  • the client remains responsible for monitoring the brokerage account.

4UProfit is not responsible for the subsequent result of an open position that remains unmanaged because the client voluntarily paused or disconnected the account.

Futures positions are intended to close intraday, normally before 5:00 p.m. Eastern Time.

Forex and CFD positions may occasionally remain open beyond the same trading day.

17. MEMBERSHIP PLAN CHANGES

  1. A client may request an upgrade or downgrade during the first three calendar days of a new billing cycle.

Requests must be submitted through Customer Support.

  1. A requested change is subject to:
  • account eligibility;
  • technical compatibility;
  • sufficient reference capital;
  • margin requirements; and
  • operational approval.

An upgrade requires sufficient capital for the higher membership level.

If a plan change is approved during the first three days:

  • the existing billing-cycle start date remains unchanged;
  • the current cycle is not restarted;
  • no prorated difference is charged for the existing cycle; and
  • the new membership level, including its Technology Membership and Performance Fee rate, applies beginning with the next renewal.

After the first three days of the cycle:

  • upgrades and downgrades generally take effect only after the current cycle ends; and
  • the new membership level begins with the next cycle.

Customer Support may review exceptional circumstances, but review does not guarantee approval.

18. CANCELLATION

  1. A client may cancel or disable future renewal at any time through:
  • available account settings; or
  • Customer Support.

Cancellation prevents the next renewal.

Cancellation does not normally end the current paid cycle immediately.

The client may continue using the membership until the current thirty-day period expires, unless access is suspended for another reason under the Terms of Service.

Cancellation does not:

  • create an automatic refund;
  • shorten or restart the current cycle;
  • close open positions;
  • liquidate the brokerage account;
  • reverse completed transactions;
  • eliminate obligations owed to the broker; or
  • give 4UProfit custody or control of client funds.

For manual renewal, choosing not to complete the next payment allows the membership to expire at the end of the current cycle.

19. REFUNDS AND BILLING ERRORS

Validly incurred membership charges are generally non-refundable.

The availability of free and unlimited demo access allows users to review the general platform experience before activating a live membership.

4UProfit may review claims involving:

  • duplicate charges;
  • confirmed billing errors;
  • unauthorized transactions;
  • payment-processor errors; or
  • exceptional circumstances.
  1. A review does not guarantee that a refund will be approved.

Refunds will be provided where required by applicable law.

The client should include sufficient information to identify the account, charge, and reason for the request.

Chargebacks or payment disputes do not automatically establish that a charge was invalid and may result in temporary suspension while the matter is reviewed.

20. PROMOTIONS AND SPECIAL OFFERS

4UProfit does not currently maintain a permanent promotion or discount program.

4UProfit may offer a temporary promotion or special offer in the future.

Any such offer will be governed by its own disclosed terms, which may specify:

  • eligibility;
  • duration;
  • promotional price;
  • applicable membership;
  • renewal price;
  • redemption limits; and
  • expiration.
  1. A promotion does not apply retroactively unless expressly stated.

Unless the offer states otherwise, future renewals occur under the price and conditions disclosed for the applicable renewal period.

21. PRICING AND POLICY CHANGES

4UProfit may update:

  • membership prices, Technology Membership amounts, or Performance Fee rates;
  • billing procedures;
  • payment methods;
  • renewal processes;
  • membership levels; or
  • this Policy.
  1. A completed billing cycle will not be retroactively repriced.

Where reasonably practical, material changes affecting future billing will be communicated before they take effect.

Continued renewal after the effective date of a disclosed change constitutes acceptance of the updated commercial terms, except where additional consent is required by law.

Questions concerning memberships, renewal, billing, cancellation, plan changes, or refund review may be submitted through:

4UProfit does not guarantee an immediate response at all times.

23. RELATIONSHIP TO OTHER LEGAL DOCUMENTS

This Policy addresses membership billing and cancellation.

It does not replace:

The Terms of Service govern the general contractual use of 4UProfit.

Trading and technology risks are addressed in the applicable Disclaimer and risk disclosures.

Personal-data processing is addressed in the Privacy Policy.

If this Policy conflicts with the Terms of Service, the Terms of Service will control, subject to applicable law.

25. FINAL ACKNOWLEDGMENT

By activating, purchasing, renewing, or continuing a membership, the client acknowledges that:

  • the membership operates in thirty-day cycles;
  • automatic renewal is the standard continuity option unless disabled;
  • manual renewal is available without penalty;
  • an inactive membership does not receive new strategy activity;
  • missed operations are not recreated later;
  • the membership structure includes a Technology Membership and a Performance Fee governed by the High-Water Mark rules described in this Policy;
  • valid charges are generally non-refundable;
  • cancellation prevents future renewal but does not automatically end the current paid cycle; and
  • the client has read and accepted this Policy together with the applicable Terms of Service.
